Article 1Membership application
Anyone wishing to join ATLAS sends a written application to the board. The board decides within thirty days. The board is not required to give reasons for a refusal.
These internal rules supplement the articles of association of ATLAS, a non-profit association under the French 1901 Act (RNA W232006771). In the event of a conflict, the articles prevail. They may be amended by a simple-majority decision of the board; any amendment is communicated within fifteen days and ratified at the next general meeting. The French text is authoritative; this translation is provided for convenience.

Initial amount: €150 per year. Reduced rate of €50 for the first 1,000 members.
The annual fee is final and non-refundable. No refund in the event of resignation, exclusion or non-use, except for a duly established payment error.
Manual donations are irrevocable under Article 894 of the French Civil Code. No refund may be requested after payment.
Contributions are covered by an individual agreement. The equipment (€200,000) is transferred in full ownership to ATLAS subject to a condition subsequent (Article 21 of the articles of association): in the event of dissolution or of the removal/exclusion of Christophe Tétard, the equipment reverts to him as of right.
Every member whose fee is paid up receives a personal, non-transferable membership card giving access to the archives, training courses (20% discount), general meetings and internal events.
The board meets at least once a quarter, with eight days’ notice, in person, by video conference or in a hybrid format. The minutes are circulated in draft form within eight days and approved at the following meeting.
Each board member produces a written monthly report before the 5th of the following month. Three months without a report and without justification may lead to removal proceedings.
Cash payments are limited to €500 per transaction.
The association’s laboratory and registered office are located at 5 rue Hyacinthe Montaudon, 23300 La Souterraine (Creuse, France).
The equipment present on the premises on 19 September 2026 (valued at €200,000) is the property of ATLAS under transfer deed ref. APPORT-001 of 19 September 2026, subject to an express condition subsequent in favour of Christophe Tétard (dissolution or removal/exclusion). The association undertakes not to dispose of this property without his written consent.
The association takes out insurance covering the equipment and the members’ civil liability. The treasurer ensures that this insurance is maintained and renewed.
Mandatory, non-negotiable safety rules:
Any technological development carried out as part of ATLAS’s activities, with its resources or on its premises, belongs as of right to the ATLAS association.
Work and inventions predating 19 September 2026, carried out outside the association, remain the exclusive property of their author. The InfiniX patent and Christophe Tétard’s prior research are contributions valued under an individual contribution agreement.
The technical committee is made up of the president, the legal adviser, Pierrick Morin (honorary member, lead technical expert) and co-opted external experts. Its decisions are advisory; the final decision rests with the board.
A strict duty of confidentiality applies to every member, collaborator, honorary member or visitor. A non-disclosure agreement (NDA) may be requested by the board. In the event of a breach:
Any public communication on behalf of the association must be approved by the president.
Applications are assessed by the technical committee within thirty days. Criteria: alternative nature, technical feasibility, commitment to ATLAS’s values, open-source potential.
Training courses are approved by the board before any public announcement.
Expenses are reimbursed on presentation of receipts, after approval by the treasurer, within the limits set by the board.
E-mail is the main means of communication. No reply within eight days constitutes tacit agreement.
The rules may be amended by a simple-majority decision of the board. Any amendment is communicated within fifteen days and ratified at the next general meeting.
These rules enter into force on 19 September 2026, the date of their adoption at the founding general meeting. They are communicated to every new member upon joining.
