Internal rules

These internal rules supplement the ATLAS statutes (26 articles, 8 titles, Alsace-Moselle local law). In the event of a conflict, the statutes prevail. They may be amended by the board and are submitted for ratification at the next ordinary general meeting.

Title IMembership and fees

Article 1Membership application

Anyone wishing to join ATLAS sends a written application to the board (e-mail or online form) including: surname, first name, postal address, e-mail address and a brief statement of motivation.

The board decides within thirty days. If no reply is given within this period, the application is deemed accepted subject to payment of the fee. The board is not required to give reasons for a refusal.

Article 2Annual fee

The initial annual fee is 150 euros per year for ordinary members, set by the ordinary general meeting. It is due for the current calendar year whatever the date of joining.

The annual fee is firm and final. No refund will be made in the event of resignation, expulsion, non-use of the association's services or for any other reason whatsoever, except for a duly established payment error.

Article 3Donations and contributions

Manual donations made to the association are irrevocable in accordance with Article 894 of the French Civil Code. No refund may be requested by the donor after payment, for any reason.

Contributions made by contributing members are governed by an individual agreement detailing any conditions of recovery, in accordance with Article 7 of the statutes.

Article 4Membership card

Every member whose fee is up to date receives a named, numbered membership card, which is personal and non-transferable. It gives access to:

  • the association's public archives;
  • ATLAS training courses at the preferential member rate (minimum 20% discount);
  • general meetings, with voting rights;
  • internal events and information.

Title IIOperation of the board

Article 5Board meetings

The board meets at least once a quarter, convened by the president with at least eight days' notice. Meetings may be held in person, by video conference or in hybrid form.

Minutes are drawn up by the treasurer-secretary and approved at the following meeting. These minutes are archived and available to paying members on request.

Article 6Mandatory monthly report

Each board member produces a written monthly report before the 5th of the following month, covering:

  • the actions carried out during the past month;
  • the objectives achieved and not achieved, with justification;
  • the performance indicators specific to their role;
  • the actions planned for the following month.

Any board member who has not produced their report for three consecutive months without justification is in breach and may be subject to removal proceedings.

Article 7Performance indicators by position

The key indicators by position are:

  • President: partnerships signed, patents supervised, external representation.
  • Co-president Quebec: contacts activated in Canada, members recruited in Quebec.
  • Treasurer-secretary: monthly statement of accounts, minutes drawn up, registers kept up to date.
  • Webmaster: state of the website, IT security, online archives.
  • Legal adviser: agreements reviewed, patents monitored, opinions issued.
  • Lead technician: prototypes advanced, measurements taken, documentation produced.
  • Quebec branch technician: Franco-Canadian coordination, projects advanced.

Article 8Expenditure and financial commitments

Any financial commitment by the association is subject to the following thresholds:

  • up to €500: decision of the president alone, treasurer informed within 48 hours;
  • from €500 to €3,000: joint decision of the president and the treasurer;
  • from €3,000 to €10,000: decision of the board by simple majority;
  • above €10,000: decision of the board and the general meeting informed.

Cash payments are limited to €500 per transaction.

Title IIIUse of premises and equipment

Article 9Access to the laboratory

The laboratory (57 ZA le Bois Imbert, 85280 La Ferrière, France) is the main place of work. Access is regulated:

  • permanent access: founding members of the board;
  • supervised access: members with the authorisation of the president or the lead technician, after signing a liability waiver;
  • visitor access: only when accompanied by a founding member;
  • no access: any unauthorised person, unaccompanied minors.

Article 10Use of equipment

The equipment made available (€200,000) is covered by a provision agreement. Its use is subject to the following rules:

  • every user is responsible for the equipment they handle;
  • any damage or breakdown must be reported immediately to the lead technician;
  • use of the equipment for personal purposes is prohibited;
  • a usage register is kept by the lead technician;
  • the lender (Christophe Tétard) retains full ownership of the equipment.

Article 11Laboratory safety

Safety rules that are mandatory and non-negotiable given the voltages and energies involved:

  • PPE must be worn during handling: goggles, insulating gloves, safety shoes;
  • no high-voltage handling alone — the two-person rule is mandatory;
  • any live device must be marked with an “IN SERVICE” label;
  • capacitors must be discharged and checked before any intervention;
  • a CO₂ extinguisher is checked and accessible at all times;
  • every incident is recorded in the safety register.

Title IVIntellectual property and confidentiality

Article 12Ownership of developments

Any technological development, invention, improvement or discovery made within the scope of ATLAS activities, with its resources or on its premises, belongs by right to the ATLAS association, in accordance with Article 23 of the statutes. This applies to all members, employees, volunteers and interns.

Article 13Confidentiality obligation

Any member, collaborator or visitor with access to ATLAS's non-public work is bound by a confidentiality obligation. A specific NDA may be required by the board for any access to technologies under development.

Article 14External communication

Any public communication on behalf of the association (press release, social media, interview, article) must be approved beforehand by the president. Members may not speak as representatives of ATLAS without the express authorisation of the board.

Title VIncubator and start-ups

Article 15Selection process

Projects wishing to join the incubator submit an application including: presentation of the team, description of the technology, development plan, resource needs and commercial prospects.

The technical committee assesses applications within thirty days. Priority criteria: alternative and innovative nature, demonstrated technical feasibility, adherence to ATLAS values, open-source dissemination potential.

Article 16Obligations of incubated structures

Every incubated structure signs an incubation agreement specifying:

  • royalty rate on turnover paid to ATLAS: between 2% and 8%;
  • equity stake transferred to ATLAS: between 5% and 15%;
  • monthly reporting obligation to the technical committee;
  • open access to non-commercial results for the ATLAS community.

Title VITraining

Article 17Organisation of training

Training courses are approved by the board before any public communication. A detailed programme is drawn up by the lead technician and submitted to the president for approval.

Article 18Prices and registration

Paying members receive a minimum 20% discount on public prices. Registrations are confirmed by payment of a non-refundable deposit of 30% of the total amount.

If a participant cancels less than 15 days before the training, no refund will be made. If ATLAS cancels, participants are refunded in full.

Title VIIDiscipline and sanctions

Article 19Prohibited conduct

The following are prohibited within the association and on its premises:

  • any conduct contrary to the values of respect and kindness;
  • any unauthorised disclosure of confidential information;
  • any unauthorised use of resources for personal purposes;
  • any false or defamatory public statement against the association;
  • any repeated breach of statutory and regulatory obligations.

Article 20Disciplinary procedure

In the event of a proven breach, the procedure takes place in three stages:

  • Stage 1: written warning from the president, 15 days to comply.
  • Stage 2: if the situation is not remedied, temporary suspension decided by the board by simple majority.
  • Stage 3: in the event of repetition or serious misconduct, expulsion pronounced by the general meeting on the board's proposal, the person concerned having been invited to present their observations.

Title VIIIMiscellaneous provisions

Article 21Reimbursement of expenses

Expenses incurred by board members in the course of their duties (travel, supplies, representation) are reimbursed on presentation of receipts, after approval by the treasurer, within the limits set by the board.

Article 22Internal communication

The association mainly uses e-mail. Every member must provide a valid e-mail address and check it regularly. Failure to reply within eight days to an official communication constitutes tacit agreement on the points not disputed.

Article 23Amendments to the rules

These rules may be amended by decision of the board by simple majority. Any amendment is communicated to members within fifteen days and submitted for ratification at the next ordinary general meeting.

Article 24Entry into force

These rules enter into force on 8 June 2026. They are communicated to every new member on joining and are available on request from the treasurer-secretary.
